DEFINITIONS
For the purposes of these Terms and Conditions (“Terms”):
“Company” means NOVA AIR CONDITIONERS.
“Customer” means any individual or legal entity placing an order.
“Consumer” means a natural person acting outside their trade or profession under Directive 2011/83/EU.
“Products” means air conditioning units and related goods.
“Services” means installation and related services.
“Website” means novaac.eu.

LEGAL ACCEPTANCE AND BINDING EFFECT
By accessing the Website, placing an order, or completing payment, the Customer expressly acknowledges and agrees that they have read, understood, and are legally bound by these Terms.
The act of placing an order and/or completing payment constitutes full and irrevocable acceptance of these Terms, including provisions relating to installation, liability, returns, warranty, indemnity, and limitations of liability.
The Customer confirms that they had the opportunity to review these Terms prior to purchase and understands that they form a legally binding agreement.
For Consumers, mandatory statutory rights under applicable EU and Cyprus law remain unaffected.

PRODUCTS AND INFORMATION
Product descriptions, specifications, and images are provided for informational purposes only and may be subject to change without notice. Minor variations may occur due to manufacturer updates.
The Company reserves the right to modify, replace, or discontinue Products at any time without liability.

ORDER PROCESS AND CONTRACT FORMATION
Product listings constitute an invitation to treat and not a binding offer. A binding contract is formed only upon written order confirmation by the Company.
The Company reserves the right to refuse or cancel any order in cases including but not limited to pricing errors, technical errors, suspected fraud, or product unavailability.

PRICES AND PAYMENT
All prices are stated in Euros (€) and include VAT unless otherwise specified.
Accepted payment methods include credit/debit cards, PayPal, and Cash on Delivery (COD), which includes a €3 handling fee.
The Company reserves the right to cancel transactions in case of payment failure, fraud suspicion, or technical error.

RETENTION OF TITLE
Ownership of Products remains with the Company until full payment has been received. Until ownership transfers, the Customer shall not resell, transfer, or encumber the Products. The Company reserves the right to recover unpaid goods where legally permitted.

DELIVERY AND RISK
Delivery is performed by third-party carriers. Delivery times are estimates only and not guaranteed.
Risk transfers to the Customer upon physical delivery of the Products. The Company is not liable for delays or failures caused by third parties or force majeure events.

INSTALLATION SERVICES AND LIABILITY
All air conditioning units must be installed by a qualified and licensed technician. Failure to comply voids warranty and releases the Company from all liability.
Standard installation fee is €120. Wall or floor bracket, if required, is €24.99. Additional costs may apply for complex installations, extended piping, electrical modifications, or difficult access conditions.
Installation services offered by the Company are carried out by independent third-party collaborative technicians.
By purchasing installation services through the Company, the Customer expressly acknowledges and agrees that installation is performed by external qualified technicians who are not employees or agents of the Company, and that the Company acts solely as an intermediary facilitating installation arrangements. The Company accepts no liability whatsoever for installation workmanship, incorrect installation, property damage, product malfunction caused by installation, or personal injury arising from installation.
All responsibility for installation lies entirely with the technician performing the work. Where installation is not performed by the Company, the Customer assumes full and exclusive responsibility.
Improper installation automatically voids the warranty.
Commencement of installation constitutes confirmation that the Product has been received in proper working condition.
No claims for defects or damage shall be accepted after installation begins, except where mandatory law applies.

RIGHT OF WITHDRAWAL (EU CONSUMERS)
Consumers have the right to withdraw from the contract within 14 days in accordance with EU law.
The right of withdrawal may be lost or restricted once installation or use of the Product begins, where legally applicable.
Refunds are subject to inspection and may be reduced in case of diminished value.

RETURNS POLICY
Returns are accepted only if Products are unused, unopened, and in original packaging. Installed, used, or damaged Products are strictly non-returnable.

ABUSE AND FRAUD PREVENTION
The Company reserves the right to refuse, cancel, or restrict orders suspected of fraud, abuse, or misuse. Fraudulent activity may be reported to relevant authorities.

LEGAL GUARANTEE
Consumers benefit from a minimum 2-year legal guarantee under Directive (EU) 2019/771 covering lack of conformity existing at delivery.
This includes the right to request repair, replacement, price reduction, or refund where applicable.
The legal guarantee applies independently of the commercial warranty but does not cover defects resulting from improper installation, misuse, or external damage.

COMMERCIAL WARRANTY
All Products are covered by a limited commercial warranty provided by the Company as follows:
The compressor is covered for a period of three (3) years from the date of delivery.
All other parts are covered for a period of two (2) years from the date of delivery.
This warranty is subject to the condition that installation is carried out by a qualified and licensed technician and that the Product is used and maintained in accordance with manufacturer instructions. Proof of proper installation may be required for any claim.
The warranty does not cover damage or faults resulting from improper installation, third-party installation errors, misuse, negligence, lack of maintenance, electrical faults, voltage fluctuations, external factors, unauthorized repairs, modifications, normal wear and tear, or cosmetic damage.
The Company reserves the right to inspect the Product before approving any warranty claim.
Remedies under this warranty are strictly limited to repair or replacement of defective parts.
This commercial warranty is provided in addition to and does not affect statutory rights under applicable law.

INDEMNITY
To the fullest extent permitted by law, the Customer agrees to indemnify, defend, and hold harmless the Company, its directors, employees, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising out of or related to:

• Improper installation of the Product by the Customer or any third-party technician
• Any modification, misuse, or improper operation of the Product
• Any failure to comply with applicable laws, regulations, or installation requirements
• Any claims brought by third parties arising from installation, use, or operation of the Product

This clause applies regardless of whether installation services were arranged through the Company.

LIMITATION OF LIABILITY
Nothing in these Terms excludes liability for death or personal injury caused by negligence or fraud.
To the fullest extent permitted by law, the Company shall not be liable for indirect, incidental, or consequential damages, including but not limited to:

• Loss of profits or revenue
• Loss of business or commercial opportunity
• Loss of use or downtime
• Damage resulting from failure or inadequate performance of cooling or heating
• Property damage arising from installation or system malfunction

Total liability shall not exceed the purchase price of the Product.

FORCE MAJEURE
The Company shall not be liable for failure or delay caused by events beyond its reasonable control, including natural disasters, strikes, supply chain disruptions, war, or governmental actions.

DATA PROTECTION
Personal data is processed in accordance with GDPR (EU) 2016/679.

THIRD-PARTY SERVICES
The Company is not responsible for third-party services including payment processors or analytics providers.

GOVERNING LAW
These Terms are governed by the laws of the Republic of Cyprus. Consumers retain mandatory protections under applicable law.

DISPUTE RESOLUTION
Consumers may access the EU Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr

SEVERABILITY
If any provision is found invalid, the remaining provisions shall remain in full force and effect.

AMENDMENTS
The Company reserves the right to amend these Terms at any time. Continued use of the Website constitutes acceptance of the updated Terms.
